1. Acceptance of Terms

By accessing or using the VergenticAI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and paying customers.

2. Description of Service

VergenticAI provides an AI-native GTM Strategy Orchestration & Intelligence Platform that allows users to build, validate, score, and execute go-to-market strategies. Features include market definition, ICP & persona building, positioning, messaging, competitive intelligence, and sales enablement tools, unified through the Cortex Intelligence Layer.

3. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized account access
• Accept responsibility for all activity that occurs under your account

We reserve the right to terminate accounts that violate these Terms or that we determine, at our sole discretion, are being used inappropriately.

4. Subscription & Billing

Access to the Service is provided on a subscription basis. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date
• We reserve the right to change pricing with 30 days' notice
• Refunds are provided at our discretion and are not guaranteed for partial billing periods
• Free trials, if offered, convert to paid subscriptions at the end of the trial period unless cancelled

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of any party
• Transmit harmful, offensive, or unlawful content
• Attempt to gain unauthorized access to any system or network
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or otherwise commercialize access to the Service without written consent
• Use automated means to scrape, crawl, or extract data from the platform

6. Intellectual Property

All content, features, and functionality of the VergenticAI platform—including but not limited to software, text, graphics, logos, and the Cortex Intelligence Layer—are the exclusive property of VergenticAI and are protected by applicable intellectual property laws. You retain ownership of any content you input into the platform. By using the Service, you grant VergenticAI a limited, non-exclusive license to process your content solely to provide the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy & Cookie Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in that policy.

8. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that becomes publicly available through no fault of the receiving party.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, VergenticAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claim shall not exceed the amounts paid by you to VergenticAI in the twelve (12) months prior to the claim.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. We reserve the right to suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our data retention policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the date at the top of this page or by notifying you via email. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
